BY LAWS


ARTICLE I
The name of this organization shall be GROUSE HALL. 


ARTICLE II: OBJECT AND PURPOSES
The object and purpose of the organization shall be to provide a venue for all persons interested in the encouragement and promotion of the safe use of side by side cartridge shotguns/double guns, and shooting with said firearms.

Members will conform to the style and tradition of the Edwardian Period of English Gunning, with a view toward a better knowledge of the safe handling and proper care of side by side arms and ammunition, as well as improved marksmanship.

It shall be our further object and purpose to promote and encourage good fellowship and sportsmanship among the members, and to advance the development of those characteristics of honesty, good fellowship, self-discipline, team play and self-reliance which are the essentials of good sportsmanship and the foundation of true patriotism. Also, to aid members, and the public in general, in all efforts to effect any of the objects and purposes mentioned herein.


ARTICLE III: MEMBERSHIP
Any interested person, 18 years of age or older for applying for single membership or 12 years of age or older in a family membership, may become a Member of Grouse Hall (a) with sponsorship by a Member in good standing, (b) by paying the prescribed dues on a timely basis, (c) subscribing to the following Pledge, and (d) receiving a recommendation from the Board of Directors.

"I certify that I am not a member of any organization or group which has as, any part of its program, the attempt to overthrow the Government of the United States or any of its political subdivisions by force or violence, that I have never been convicted of a crime of violence, and if admitted to membership I will faithfully endeavor to fulfill the obligations of good sportsmanship and good citizenship."

PRIVILEGES OF MEMBERSHIP
Each Member shall have equal privileges to attend and participate in events sponsored by Grouse Hall and its affiliates. Should any event sponsored by Grouse Hall have limited attendance by virtue of the nature of the venue and/or safety considerations, then inclusion will be on a "first come basis" which shall be deemed by receipt of Members stated intention to attend AND the receipt of proscribed deposit for said venue. Event deposits are refundable only if cancelled within the parameters of the venue invitation.

MEMBER DUTIES
Duties of each Grouse Hall Member shall be to earnestly and continually strive to uphold the purpose of the organization as listed in Article II. Each Member shall do his utmost to obey the laws and rules set by the Clubs hosting Grouse Hall Venues, the local towns, state or commonwealth, and the national government for the regulation of sporting activities sponsored by Grouse Hall.

CONTEXT OF BYLAWS
(a) Wherever the male pronoun is used herein it shall be understood to be the female pronoun if the context of the sex of the party referred to so requires.

(b) Memberships shall be available to any person meeting the requirements listed in ARTICLE III. Any member who is at least 12 years old and less than 18 years old must be accompanied by a senior member for all shooting activities.
(c) Annual dues shall be established by the Board of Directors for single and family membership, and will be due and payable with the application for membership.

ARTICLE IV: DUES
(a) Member's annual dues shall be payable by January 31st of the current year, but not later than the last day of February. Notice of payable dues shall be mailed at least one month prior to this date, no later than December 1. Failure to pay the annual dues by the due date shall result in the member's removal from the membership roster. A delinquent member may be reinstituted by paying his/her dues at, or prior to, the next shoot attended, at the discretion of the Treasurer.

(b) The annual dues shall be set by a majority of Board of Directors Members present at the Annual Meeting of the Board.

(c) New Members: Applicants for membership after September 1st of current year shall pay dues for the upcoming year. A membership card issued for that year will be valid for the remainder of the current year and following year.


ARTICLE V: POLICIES AND PROCEDURE
Section 1
(a) ANNUAL MEETING. The annual meeting of Grouse Hall shall be held at a time, date, and location agreed to in advance by the Officers and Directors to discuss past, present and upcoming business. The agenda shall be set forth in writing and the Officers and Directors shall be notified of said agenda not less than two (2) weeks prior to the meeting. Proposed changes to the By-Laws shall be submitted in writing at that time.

(b) SPECIAL MEETING. A special meeting of Grouse Hall Officers and Board Members may be held at any time upon the call of the President or the Board of Directors, stating the object of the proposed meeting and notice of time and place. Notice shall be sent to Officers and Directors not less than seven days prior to the meeting. The location of a special meeting shall be determined by the President.

(c) FINANCIAL REPORT. The accounts and records of Grouse Hall shall be subject to a report by the Grouse Hall Treasurer and reviewed at the annual meeting by the Officers and Directors.

(d) MEMBERS RIGHTS TO PRIVACY. The names and addresses of the Members of Grouse Hall shall not be divulged, sold, or used for any commercial purposes without the express permission, in writing, of the Member.

(e) QUORUM. The minimum number of Officers and Directors present at any annual or special meeting necessary to constitute a quorum shall be six (6).

Section 2
(a) RESOLUTIONS. Any Member in good standing may, orally or in writing, bring a matter before the Officers and Directors of Grouse Hall for discussion and consideration.

(b) VOTING. A simple majority of votes cast by the Officers and Directors is required to approve or disapprove any matter on which a vote is taken, except as otherwise noted in the By-Laws. When a vote is taken, the presiding officer may exercise the special voting privilege of the President as described in ARTICLE VII (a).

(c) CONTINUITY OF ACTION. When the Officers and Directors of Grouse Hall have approved a policy or course of action with respect to a particular phase of its activities, such policy or course of action shall remain in effect indefinitely until accomplished or completed, unless this policy or course of action by resolution, is changed or rescinded.

(d) TERM OF OFFICE. The term of office for any member of Grouse Hall to serve as an Officer shall be for one (1) year. The Director's term shall be for three (3) years, as the wishes of the Director may dictate and the nominee will accept. No one may be nominated or elected as an Officer or Member of the Board of Directors without their consent and permission. The Board of Directors shall choose new Officers and Members of the Board of Directors each year in October. Nominations from non-members of the Board are to be made via certified mail to the Secretary during September. If non-member nominations are received, the Secretary will inform Board Members by phone or e-mail of the slate of candidates. A vote will be taken as set forth above and a report rendered by the Secretary.


ARTICLE VI: BOARD OF DIRECTORS
(a) GENERAL. The affairs and assets of Grouse Hall shall be managed, subject to any determination of Grouse Hall, by a Board of at least ten (10) Directors, consisting of the Officers and at least five (5) Directors. The outgoing President shall serve as one of the five (5) Directors.

(b) POWERS AND DUTIES. The Board of Directors may make recommendations on matters of policy and proposed shooting venues to Grouse Hall.

(c) MEETINGS. Meetings of the Board of Directors may be held at such time and place as the Board of Directors may determine. Special meetings may be held at any time on call of the President or by request of any three (3) Members of the Board directed to the President. Meetings may be in person, via a conference call, internet chat room or e-mail discussion.

(d) QUORUM. At any meeting of the Board of Directors, the presence of at least six (6) members thereof shall constitute a quorum. No action shall be taken unless favored by simple majority of the members present and voting.

(f) Membership Committee. The Board of Directors shall constitute the Membership Committee.

(g) VACANCY. A vacancy on the Board of Directors may be filled by a majority vote of the remaining members of the Board.

(h) VOTING REQUIREMENTS. A simple majority vote of Board members present and voting shall constitute an acceptance of the motion.


ARTICLE VII: DUTIES OF OFFICERS
(a) PRESIDENT. The President shall preside at all meetings of the organization and the Board of Directors and shall be a member ex officio of all regular and special meetings/committees, and shall perform all such other duties necessary or incidental to the proper discharge of his office. At his discretion, he shall appoint and remove members of any committee. He shall enforce observance of the By-Laws.

(b) VICE-PRESIDENT. The Vice-President shall perform the duties of the President in his absence, or at his request. The Vice President shall -
assist the President to discharge the President's duties,
preside if the President vacates the Chair for any reason, and
serve as Chairman of the Membership Committee.

(c) SECRETARY. The Secretary shall conduct all official correspondence pertaining to the proper preparation and forwarding of all notices, announcements, and newsletters. The Secretary shall -
upon receipt of proper notification of receipt of annual dues remittance by the Treasurer, issue proper membership cards, together with the President, keep minutes of all meetings of the Board of Directors,
have custody of all records of Grouse Hall, except the Treasurer's records and accounts, and
perform all other duties necessary or incidental to the proper discharge of his office.

(d) TREASURER. The Treasurer shall have charge of all Grouse Hall funds and place the same in such bank or banks as may be approved by the Board of Directors. The Treasurer is empowered to withdraw monies from any bank by check or other method for payment bills approved by the Board of Directors. The Treasurer shall -
keep an accurate account of all of his transactions and render a detailed report at least four (4) times per year, with vouchers, at any meeting of the Board of Directors when requested, for clarification of expenses, and an annual report and financial summary at year's end for the information of the members,
be responsible for the preparation and filing of all corporate, tax and other official reports and returns required of Grouse Hall, review and sign all contracts and/or letters of intent for upcoming venues, and
be responsible for the collection of all dues.

In a timely manner, he shall submit member names and addresses to the Secretary to maintain a current membership list, and perform all other duties necessary for the proper discharge of his office, and

(e) MASTER OF THE HUNT. The Master of the Hunt shall -
preside over and direct Grouse Hall venues insofar as the planned course, safety and comfort of its members and their guests are concerned, be instrumental in providing the Officers and Board of Directors with suggestions for sites for future venues, be the liaison between Grouse Hall and the organizational staff members at each venue, be responsible for courteously pointing out observed or reported safety infractions by members or their guests, have the authority to request that repeated violators leave the venue for the safety of all remaining members and their guests, and perform all other duties necessary for the proper discharge of his office.

The Master of the Hunt, or his/her designee, shall give the customary toast at each venue, and be standard bearer of the Grouse Hall Banner.


ARTICLE VIII: DISCIPLINARY RULES
(a) Grouse Hall is self-governing. The organization will conduct its own disciplinary and policy decisions without referring such matters to any other organization.

(b) Any Officer may be removed by a two-thirds vote of the Board of Directors at any special meeting called for that purpose.

(c) Any Member of Grouse Hall may be suspended or expelled from the organization, for any cause deemed sufficient by the Board of Directors, by a two-thirds affirmative vote of the members of the Board of Directors present at any regular or special meeting. If a majority of the Board deems a member to be unsafe resulting from observation or credible complaint, the Board will reprimand, suspend or dismiss that member at the Board's discretion.

(d) Member usage of the Grouse Hall name for profit, exploitation, garnering of special favors, advertisement or other improper purposes, not in accordance with the express object, purposes and spirit of Grouse Hall and subject to the approval of the Board of Directors in writing, is strictly prohibited and will result in the suspension or expulsion of said member at the discretion of the Board of Directors by a two-thirds majority affirmative vote at any regular or special meeting.


ARTICLE IX: AMENDMENTS
Proposed amendments to these By-Laws may be introduced by any Grouse Hall member in good standing by notifying any officer or Director in writing or via e-mail. A two-thirds vote of the members of the governing board will be required for approval of the amendment.
